These Terms of Use ("Terms") apply to your access to, and use of, the websites, mobile applications and other products and services (collectively, the "Services") of Francis King Tea and Coffee Company ("Francis King Tea & Coffee Co" or "we”). These Terms do not alter in any way the terms or conditions of any other agreement you may have with Francis King Tea & Coffee Co for products, services or otherwise. If you are using the Services on behalf of any entity, you represent and warrant that you are authorized to accept these Terms on such entity's behalf and that such entity agrees to be responsible to us if you violate these Terms.
Francis King Tea & Coffee Co reserves the right to change or modify these Terms at any time and in our sole discretion. If Francis King Tea & Coffee Co makes changes to these Terms, we will provide notice of such changes, such as by sending an email notification to the email address held for Francis King Tea & Coffee Co accounts, or by providing notice through the Services, or by updating the "Last Updated" date at the top of these Terms. Copyright and Limited License
Unless otherwise indicated on the Services or otherwise by Francis King Tea & Coffee Co, the Services and all content and other materials therein, including, without limitation, the Francis King Tea & Coffee Co, Francis King Tea & Coffee Co, Pearls, and Francis King Tea & Coffee Co logo and all designs, text, graphics, pictures, information, data, software, sound files, other files and the selection and arrangement thereof (collectively, "Content") are the proprietary property of Francis King Tea & Coffee Co or our licensors or users and are protected by U.S. and international copyright laws.

Unless explicitly stated herein or otherwise by Francis King Tea & Coffee Co, nothing in these Terms shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. This license is revocable at any time.
Notwithstanding anything to the contrary in these Terms, the Services and Content may contain software components that are subject to separate license terms, in which case those license terms will apply to the access and use of such software components.
Repeat Infringer Policy; Copyright Complaints
In accordance with the Digital Millennium Copyright Act ("DMCA") and other applicable laws, Francis King Tea & Coffee Co has adopted a policy of terminating, in appropriate circumstances and in Francis King Tea & Coffee Co's sole discretion, account holders or other users of the Services who are deemed to be repeat infringers. Francis King Tea & Coffee Co may also, in our sole discretion, limit access to the Services and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

Modifications to the Services
Francis King Tea & Coffee Co reserves the right to modify or discontinue, temporarily or permanently, the Services, Products or any features or portions thereof without prior notice. We’re always trying to improve the Services and Products, so they may change over time. We may introduce new features or impose limits on certain features or change pricing or restrict access to parts or all of the Services. We’ll try to give you notice when we make a material change to the Services that would adversely affect you, but this isn’t always practical. You agree that Francis King Tea & Coffee Co will not be liable for any modification, suspension or discontinuance of the Services, Products or any part thereof.
Applicable Law; Arbitration
PLEASE READ THE FOLLOWING PARAGRAPH CAREFULLY BECAUSE IT REQUIRES YOU TO ARBITRATE DISPUTES WITH FRANCIS KING TEA & COFFEE CO AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM FRANCIS KING TEA & COFFEE CO.
You and Francis King Tea & Coffee Co agree to arbitrate any dispute arising from these Terms or your use of the Services or Products, except that you and Francis King Tea & Coffee Co are not required to arbitrate any dispute in which either party seeks equitable and other relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents. ARBITRATION PREVENTS YOU FROM SUING IN COURT OR FROM HAVING A JURY TRIAL. You and Francis King Tea & Coffee Co agree that you will notify each other in writing of any dispute within thirty (30) days of when it arises. Notice to Francis King Tea & Coffee Co shall be sent to Francis King Tea and Coffee Company, Attn: Legal, 304 S Jones Blvd Suite 4455, Las Vegas, NV 89107. You and Francis King Tea & Coffee Co further agree: (a) to attempt informal resolution prior to any demand for arbitration; (b) that any arbitration will occur in Las Vegas, Nevada; (c) that arbitration will be conducted confidentially by a single arbitrator in accordance with the rules of JAMS; and (d) that the state or federal courts in Clark County, Nevada have exclusive jurisdiction over any appeals of an arbitration award and over any suit between the parties not subject to arbitration. Other than class procedures and remedies discussed below, the arbitrator has the authority to grant any remedy that would otherwise be available in court. Any dispute between the parties will be governed by these Terms and the laws of the State of Nevada and applicable United States law, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction. WHETHER THE DISPUTE IS HEARD IN ARBITRATION OR IN COURT, YOU AND FRANCIS KING TEA & COFFEE CO WILL NOT COMMENCE AGAINST THE OTHER A CLASS ACTION, CLASS ARBITRATION OR REPRESENTATIVE ACTION OR PROCEEDING.
Termination
Notwithstanding any of these Terms, Francis King Tea & Coffee Co reserves the right, without notice and in our sole discretion, to terminate your right to use the Services or Products, or any portion of thereof, and to block or prevent your future access to and use of the Services or Products or any portion thereof.
Severability
If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
